By accessing or using any features of the site located at www.ProServices4Home.com (“ProServices4Home Site”) and operated and managed by ProServicesFor(4)Home ("Our Company " "us" or "we"), you agree to be bound by these terms of service (collectively, "Terms of Service"). All visitors to and users of any aspects of the www.ProServices4Home.com (collectively, called "Users") are bound by these Terms of Service. We reserve the right to modify the Terms of Service at any time without prior notice to you. Therefore, we recommend that you read these terms of service carefully each time you use this Web site.
Disclaimer of Conditions. The ProServices4Home Site is a venue connecting homeowners and other customers ("Customers") with Professional Service Providers and/or Service Pros (each a "Providers"). By using the ProServices4Home Site, Users acknowledge that ProServices4Home Site is not a participant in the transaction between the Customers and the Providers and ProServices4Home Site is not responsible for the content of Customers' offers or for the performance of Services by Providers. As a User of the ProServices4Home Site, you may also post content and share it with other users, read content generated by other visitors to the ProServices4Home Site, and view third party postings and reviews regarding products and services. If users wish to post content to as Providers, and participate in the ProServices4Home Site other than simply by reading information and content and reviews posted by others, you must register using the registration form (“Become a Pro”) available at www.ProServices4Home.com.
Requests to Providers either directly based on Providers business types, the Customer’s description of desired work or products and the geographic location of the Customers and Providers. We also provide a “Become a Pro” feature and may provide other tools through the Services that Providers can use to sign up to receive referrals/leads, including referrals to Customers generated through our Services. The Providers that we refer to Customers through the Services operate independently of us. We do not provide any home improvement services (or other products or services specified in Service Requests) to Customers and we do not assess the suitability, licensure, legality or ability of any Providers. Our company is not responsible or liable for the acts or omissions of Providers and does not verify their compliance with applicable laws, regulations, or licensing requirements. We as middle company, only promise to find the most reputable and reliable Providers based on their standing at available reviews/ranks platforms such as Google Business, AngiesList, Yelp, Home Advisor and others.
ALL CONTENT AVAILABLE ON OUR WEBSITE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. SUCH CONTENT IS PROVIDED WITH THE UNDERSTANDING THAT PROSERVICES4HOME SITE IS NOT ENGAGED IN RENDERING PROFESSIONAL SERVICES OR ADVICE AND SUCH CONTENT IS NOT A SUBSTITUTE FOR PROFESSIONAL SERVICES/ADVICES. IF YOU RELY ON ANY SUCH CONTENT, YOU DO SO AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS THAT RESULTS FROM YOUR USE OF SUCH CONTENT.
No Guarantees/or Endorsements. We make no representations about the suitability, reliability, timeliness, legality, or accuracy of any interactions between Providers, and Customers, whether online or offline. We do not inspect, warrant, represent, or endorse any Providers. When interacting with Providers, or Customers you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with other persons whom you don’t know.
No Contracting through the Services. To contract with a Providers, Customers must work directly with the applicable company. Your rights under contracts you enter into with Providers are governed by the terms of such contracts and by applicable federal, state, and local laws. Our company is not a party to such agreements. Our Company may inform you of certain offers or discounts provided by a Providers through advertising on the Services. Such offers or discounts are made solely by the Providers, as applicable, and Our company does not guarantee or warrant the pricing, discounts, or services that a Providers may offer you.
No Guarantee on the Prices from Providers. The prices, or lowest prices available for the services or products you seek through a Service Request may not be available in your area from the Providers we refer through the Services. You should discuss the pricing directly with Providers, and always solicit multiple estimates for a project and compare prices before choosing a Providers.
Release from Damages or Claims Related to Providers. If you have a dispute with a Providers, including without limitation, disputes regarding the fees charged or quality of the work performed, you agree, to address such dispute with the applicable Providers directly. YOU HEREBY AGREE TO RELEASE OOUR COMPANY, AND AFFILIATES, AND THE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES OF EACH (COLLECTIVELY, THE “PROSERVICES4HOME PARTIES”) FROM ANY LIABILITY, CLAIMS, ACTIONS, DAMAGES, LOSSES OF EVERY KIND OR NATURE, SUSPECTED AND UNSUSPECTED, KNOWN AND UNKNOWN, AND DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES. The PROSERVICES4HOME PARTIES ARE NOT RESPONSIBLE FOR THE ACTIONS OR OMISSIONS, WHETHER ONLINE OR OFFLINE, OF ANY PROVIDERS OR CUSTOMERS.
Security. Users shall be responsible for maintaining the confidentiality of their password, and they are fully responsible for all activities that occur under their User name and password, whether or not they authorize such activities. Users agree to (a) immediately notify us of any unauthorized use of their User name or password of which their become aware, and (b) ensure that they exit from their account at the end of each session.
Blocking of IP Addresses. In order to protect the integrity of the ProServices4Home Site, Our Company reserves the right at any time, in its sole discretion, to block Users from certain IP addresses from accessing the Site.
Disputes. Any dispute relative to the ProServices4Home Site or use or inability to use the ProServices4Home Site will be governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any dispute relating in any way to your visit to or participation on the ProServices4Home Site shall be submitted to confidential arbitration in Atlanta, Georgia, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of Georgia, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under these Terms of Service shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Service shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration involving any other party subject to these Terms of Service, whether through class arbitration proceedings or otherwise.
Applicable law. By visiting ProServices4Home Site, you agree that the laws of the State of Georgia, without regard to principles of conflict of laws, will govern these Terms of Service and any dispute of any sort that might arise between you and ProServices4Home Site.
Information Customers Provide to Us. Users consent to be Contacted by Providers. By submitting a Service Request, you consent to Our Company use and disclosure of your contact and all other related information in accordance with our Privacy Policy and expressly consent to being contacted by or on behalf of Providers via phone (including autodialed and prerecorded calls), email, postal mail, text (SMS) messaging, or other reasonable means, at any of the contact numbers or addresses you provide, even if your number(s) are listed on any federal, state, or other applicable “Do Not Call” list, for purposes reasonably related to your Service Request. You promise that all information you provide through the Services (including but not limited to your telephone number(s) and other contact information) will be accurate, current and truthful to the best of your knowledge. Indemnification for Knowing Entry of False Information. To Knowingly input false information, including but not limited to name, phone number, address or email address, is a very serious and fraudulent matter that could expose Our Company and the Providers that respond to your Service Request to significant costs and expenses, attorney’s fee, fines, penalties and statutory damages(collectively “ Losses”) If you knowingly input false information in service request, you agree to fully indemnify and be liable to the our company parties and applicable Providers who accept your service request for all their related losses. You agree that provisions of this section will survive any expiration or termination of these terms or your access to the services.
Feedback/Reviews receive by Users. Users agree that your submission of any ideas, suggestions, documents, and/or proposals to Our Company is at your own risk and that Our company has no obligations with respect to such submission. You represent and warrant that you have all rights necessary to submit the Feedback/review. You hereby grant to Our company the right to use any Feedback/Review in any way at any time without any additional approval or compensation.
Ownership of and License to Use ProServices4Home Intellectual Property(Trademarks/Logos). Our Company and its suppliers own all rights, title, and interest in the Services. The Services are protected by copyright and other intellectual property laws throughout the world. Subject to these terms of service, if you are a Customer, Our Company grants you a limited license to use the Services solely for your personal non-commercial purposes or if you are a Providers, Our Company grants you a limited license to use the Services solely for the purposes of using the features of the Service that we market for the use of Providers. Any future release, update or other addition to the Services shall be subject to these terms of service. Our company and service providers reserve all rights not granted in these terms. ProServices4Home stylized name and other related graphics, logos, service marks and trade names used on or regarding the Services are the trademarks of Our Company and may not be used without permission regarding any third-party products or services. Other trademarks, service marks and trade names that may appear on or in the Services are the property of their respective owners. You will not remove, alter or obscure any copyright notice, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services.
Restrictions on Use of Services. The rights granted to you in this Terms of Service are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Services or any portion of the Services except as permitted herein; (b) you shall not frame or use framing techniques to enclose any trademark, logo or Services (including images, text, page layout or form) of ProServices4Home Site; (c) you shall not use any metatags or other "hidden text" using ProServices4Home Site name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to "scrape" or download data from the Services (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (f) you shall not access the Services to build a similar or competitive website, application or service; (g) except as expressly stated herein, no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Services; (i) you shall not interfere with or attempt to interfere with the proper functioning of the Services or use the Services in any way not expressly permitted by this terms of Service; and (j) you shall not attempt to harm our Services, including but not limited to, by violating or attempting to violate any related security features, introducing viruses, worms, or similar harmful code into the Services, or interfering or attempting to interfere with use of the Services by any other user, host or network, including by means of overloading, "flooding," "spamming," "mail bombing", or "crashing" the Services.

The communications between Users and Our Company use electronic means, whether you visit the Services or send us e-mails, or whether Our Company post notices on the Services or communicates with users via e-mail. For contractual purposes, Users (1) consent to receive communications from Our Company in an electronic form(Email); and (2) agree that all terms and conditions, notices, disclosures, and other communications and documents that we provide to you electronically will have the same legal effect that such communications or documents would have if they were set forth in "writing." Third-Party Links submitted on our site by Providers. The Services may contain links to third-party services such as third-party websites, applications, or ads ("Third-Party Links"). When you click on such a link, we will not warn you that you have left the Services. Our company does not control and is not responsible for Third-Party Links. We provide these Third-Party Links only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to them, or any content, products or services accessible through such links. Your use of all Third-Party Links is at your own risk.
Indemnification for Misuse. Users agree to indemnify and hold the Our Company Parties harmless from any damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of any claims concerning: (a) your misuse of the Services; (b) your violation of this Agreement; (c) your violation of any rights of another party, including any Providers or Customers; or (d) your violation of any applicable laws, rules, or regulations. Our Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Our company in asserting any available defenses.
Parties for any unconscionable commercial practice by such party or for such party's negligence, fraud, deception, false promise, misrepresentation or concealment, suppression, or omission of any material fact. You agree that the provisions in this section will survive any termination of this Terms of Service or your access to the Services.
These Terms of Service set out the legally binding terms with respect to your use of the ProServices4Home Site. Please read these Terms of Service carefully. Your access to and use of the ProServices4Home Site constitutes your acceptance of all the provisions of these Terms of Service. If you are unwilling to be bound by these Terms of Service, you should not access or use the ProServices4Home Site.
